Important: By accessing or using Truevyn, you agree to be bound by these Terms. If you don't agree to these Terms, please do not use our Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Truevyn ("Truevyn," "we," "us," or "our"), a company organized under the laws of Oregon, governing your access to and use of the Truevyn platform, website, services, and all related applications, features, and content (collectively, the "Service").

1.1 Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date or by sending notice to your registered email address. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

2. Description of Service

Truevyn is a peer-to-peer market intelligence platform that provides real-time insights into second-hand vehicle listings in your local area. The Service analyzes data from local, peer-to-peer sales to deliver hyperlocal vehicle valuation reports based on location and condition.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

The Service is currently available only in Oregon, USA. We reserve the right to expand to additional jurisdictions at our discretion.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, including the waitlist, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice, for any violation of these Terms or for any other reason we deem appropriate.

4. Subscription and Payment Terms

4.1 Free Trial and Testing Period

We may offer free trials or testing periods with synthetic data. Free trials are subject to these Terms and may be subject to additional conditions communicated at the time of enrollment.

4.2 Subscription Fees

Upon full commercial launch, access to the Service will require a paid subscription. Subscription pricing, billing frequency, and payment terms will be communicated to you prior to purchase and may be modified at our discretion with reasonable notice.

4.3 Payment Authorization

By providing payment information, you authorize us to charge your designated payment method for all fees associated with your subscription.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You will be charged the then-current subscription rate upon renewal.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods except as required by law or as determined by us in our sole discretion.

5. Intellectual Property Rights

Critical Protection: All content, algorithms, and data analysis methods used by Truevyn are our exclusive proprietary property and are protected by intellectual property laws.

5.1 Truevyn Proprietary Rights

The Service, including but not limited to all software, algorithms, data collection methods, data processing techniques, analytical models, databases, proprietary methodologies, source code, object code, user interfaces, designs, graphics, text, images, and all other content and materials (collectively, "Truevyn IP"), is owned exclusively by Truevyn and is protected by United States and international intellectual property laws.

You acknowledge that the Service contains valuable trade secrets and proprietary information, including but not limited to:

If you provide us with any suggestions, ideas, feedback, or other information regarding the Service, you assign to Truevyn all rights, title, and interest in such feedback. Truevyn may use, disclose, and exploit such feedback without any obligation to you.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any content you submit through the Service.

7.1 Information You Provide

To generate vehicle valuation reports, you may be required to input vehicle information such as make, model, year, mileage, condition, and location. You represent and warrant that all information you provide is accurate and complete.

7.2 Waitlist Information

If you register for the waitlist, we will collect your name, email address, and willingness to pay information. This information will be used to notify you of Service availability and to demonstrate market interest to potential investors.

7.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

While we strive to provide accurate vehicle valuations, we do not warrant or guarantee:

The Service provides market intelligence and data analysis tools but does not constitute professional financial, legal, or purchasing advice. You should consult with appropriate professionals before making any vehicle purchase or sale decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUEVYN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

9.1 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Truevyn, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

11. Dispute Resolution and Arbitration

Arbitration Agreement: You and Truevyn agree that any dispute shall be resolved exclusively by binding arbitration, except as noted below. This means you are waiving your right to a jury trial and to participate in class action lawsuits.

11.1 Informal Resolution

Before initiating arbitration, you agree to first contact us at support@truevyn.com to attempt to resolve the dispute informally. If a dispute is not resolved within sixty (60) days after submission, you or Truevyn may initiate arbitration.

11.2 Binding Arbitration

YOU AND TRUEVYN AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION, EXCEPT AS SET FORTH IN SECTION 11.6.

11.3 Arbitration Rules and Forum

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitration shall be conducted in Portland, Oregon, or another location mutually agreed upon by the parties.

11.4 Arbitrator Selection and Authority

The arbitration shall be conducted by a single neutral arbitrator selected in accordance with AAA rules. Truevyn reserves the right to select the arbitrator from the AAA's roster if you do not respond within the time frames specified by AAA rules.

11.5 Exceptions to Arbitration

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents), and such claims are not subject to arbitration.

11.6 Class Action Waiver

YOU AND TRUEVYN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

11.7 Jury Trial Waiver

YOU AND TRUEVYN HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

11.8 Opt-Out

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@truevyn.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and email address.

12. Governing Law and Venue

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree that such disputes shall be brought exclusively in the state or federal courts located in Multnomah County, Oregon.

13.1 Term

These Terms remain in effect for as long as you access or use the Service.

13.2 Termination by You

You may terminate your account at any time by discontinuing use of the Service and, if you have a paid subscription, canceling your subscription through your account settings.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Truevyn concerning the Service.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

14.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

14.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Electronic Communications

You consent to receive communications from us electronically, including via email or by posting notices on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
